Rainbow Rentals announced their annual shareholders meeting will
be held Wednesday, May 15, 2002 at 10:00 a.m. at the Holiday Inn - Boardman,
7410 South Avenue, Boardman, Ohio.
Agenda items include:

Elect six Directors with terms expiring

Ratify the appointment of KPMG LLP as auditors of the
Company for the year ending December 31, 2002. (KPMG has been Rainbows
auditor since 1991)

1994. He is a director of Boykin Lodging Co., HMI Industries, Inc. and
OfficeMax, Inc.

55 Chairman and Chief Executive Officer of Dots, Inc., a retailer of women's
apparel. He is a director of the National Retail Federation and Chairman of
the Advisory Board of the Shannon Rodgers and Jerry Silverman School of
